Terms of Service

1. Acceptance of Terms

By accessing or using SDR Agent (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree with any part of these Terms, you may not use the Service.

2. Service Description

SDR Agent is an AI-powered Sales Development Representative (SDR) platform that automates lead sourcing, email campaign creation, outreach scheduling, and meeting management. The Service is provided on a subscription basis and is intended for legitimate B2B sales outreach purposes only.

3. Account Terms

  • You must provide accurate, complete, and current registration information.
  • You are responsible for maintaining the security of your account credentials. Notify us immediately of any unauthorized access.
  • Each account is for a single organization (tenant). You may not share accounts across unrelated entities.
  • You must be at least 18 years old and legally able to enter into contracts.
  • We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Billing and Payments

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in a refund policy. Pricing is subject to change with 30 days' notice. Failure to pay may result in suspension or termination of your account. You authorize us (or our payment processor) to charge your payment method on a recurring basis until you cancel.

5. Prohibited Use

You may not use the Service to:

  • Send unsolicited commercial email (spam) or violate CAN-SPAM, GDPR, CASL, or other anti-spam laws.
  • Harvest, scrape, or collect data without authorization.
  • Engage in deceptive, fraudulent, or misleading practices.
  • Transmit malware, viruses, or any other malicious code.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service for any unlawful purpose or in violation of any third-party rights.
  • Resell or sublicense access to the Service without written permission.

6. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access immediately for violation of these Terms or for any other reason at our discretion. Upon termination, your right to access the Service ceases and we may delete your data in accordance with our data retention policy.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SDR AGENT AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) $100 USD. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
